Copyright & User Agreement

Effective Date: August 3, 2026

This Copyright & User Agreement ("Agreement") governs the use of all musical compositions, instrumentals, beats, stems, trackouts, digital downloads, and related content ("Works") purchased, licensed, downloaded, or otherwise obtained from Sugar Beatz Key Productions ("Licensor," "we," "our," or "us").

By purchasing, downloading, streaming, or using any Work from Sugar Beatz Key Productions, you ("Licensee," "you," or "your") acknowledge that you have read, understood, and agree to be legally bound by this Agreement.

1. COPYRIGHT OWNERSHIP

Unless expressly transferred through a signed Exclusive Rights Agreement, all copyrights remain the sole and exclusive property of Sugar Beatz Key Productions.

This includes, but is not limited to:

Musical composition
Melody
Harmony
Arrangement
Production
Instrumentation
Digital recordings
Stems
Samples owned or created by Licensor
Artwork
Logos
Branding
Website content

Purchasing a lease grants a license to use the Work—it does not transfer copyright ownership.

2. LICENSED USE

Your rights are governed solely by the license purchased.

License types may include:

Basic Lease
Premium Lease
Unlimited Lease
Trackout Lease
Exclusive Rights

Each license contains its own usage limitations, including:

Stream limits
Commercial rights
Performance rights
Broadcasting rights
Music video rights
License duration

You may only use the Work according to the license purchased.

3. COPYRIGHT REMAINS WITH LICENSOR

Unless an Exclusive Rights Agreement specifically states otherwise, you may NOT:

Claim ownership of the beat
Register the instrumental composition as your own
Sell the beat
Resell the beat
Give away the beat
Upload stems for redistribution
Mint the beat as an NFT
Use the beat in AI datasets
Create derivative beat packs
License the beat to others

4. CREDIT REQUIREMENT

Where commercially reasonable, the Licensee agrees to credit the producer using one of the following:

Produced by Sugar Beatz Key Productions

Prod. Sugar Beatz Key Productions

Failure to provide credit does not transfer ownership.

5. COPYRIGHT REGISTRATION

Sugar Beatz Key Productions reserves the right to register all works with:

The United States Copyright Office
COSCAP (Copyright Society of Composers, Authors and Publishers Inc. – Barbados)
Any international copyright authority
Digital fingerprinting services
Content ID systems

The Licensee may only register their original lyrics, vocals, or performance unless the applicable license expressly authorizes additional registrations.

6. CONTENT ID & DIGITAL PLATFORMS

Sugar Beatz Key Productions reserves the right to register Works with:

YouTube Content ID
Meta Rights Manager
TikTok Rights Management
Facebook Rights Manager
Instagram Rights Manager
Audible Magic
Digital Rights Management systems

Improper copyright claims made by Licensees may be removed.

7. PROHIBITED USES

Without written permission, you may not:

Sell the instrumental by itself
Upload stems for public download
Use the beat as a sample pack
Claim authorship
Remove producer tags where prohibited by your license
Use the Work for unlawful activity
Train artificial intelligence models using the Work
Incorporate the Work into machine-learning datasets
Use the Work to create competing beat libraries

8. TERMINATION

Any violation of this Agreement immediately terminates your license.

Upon termination, you must immediately cease:

Distribution
Streaming
Broadcasting
Sales
Public performances
Commercial use

Sugar Beatz Key Productions reserves all legal remedies available.

9. INTELLECTUAL PROPERTY PROTECTION

Unauthorized reproduction, copying, piracy, redistribution, or infringement may result in:

DMCA takedown notices
Account termination
Copyright infringement claims
Monetary damages
Injunctions
Recovery of attorney's fees where permitted by law

10. LIMITATION OF LIABILITY

Sugar Beatz Key Productions shall not be liable for indirect, incidental, consequential, or special damages arising from use of the Works.

Maximum liability shall not exceed the purchase price of the applicable license.

11. REFUND POLICY

Due to the digital nature of the products, all sales are final.

No refunds, exchanges, or cancellations will be provided once files have been delivered, except where required by applicable law.

12. GOVERNING LAW

This Agreement shall be governed by and interpreted under the laws of:

The State of Delaware, United States (without regard to conflict of law principles), for transactions involving customers in or through the United States; and
The laws of Barbados for transactions involving customers in Barbados or where Barbados law is otherwise applicable.

Where legally permissible, any dispute shall be brought in the competent courts of the applicable governing jurisdiction. Nothing in this Agreement limits any mandatory consumer rights that cannot legally be waived under applicable law.

13. INTERNATIONAL COPYRIGHT

Sugar Beatz Key Productions' Works are protected by international copyright laws and treaties, including, where applicable:

The Berne Convention for the Protection of Literary and Artistic Works
The WIPO Copyright Treaty
The TRIPS Agreement
Applicable copyright laws of the United States and Barbados

Unauthorized use may constitute copyright infringement in one or more jurisdictions.

14. ACCEPTANCE OF TERMS

By purchasing, downloading, or using any Work from Sugar Beatz Key Productions, you acknowledge that you:

Have read this Agreement.
Agree to all license terms.
Understand that ownership is not transferred unless expressly stated in a signed Exclusive Rights Agreement.
Agree to comply with all applicable copyright laws.
